[= wy = Bn" BUSINESS June 19, 1988 Ben a Japanese buy company VANCOUVER (CP) — The pur- ehase of Reed International's North by Paper Manufacturing Co. Ltd. is the latest stage in the Japanese com. pany's steady 10-year expansion, says a forest industry analyst. Charles Widman, chairman of Widman Forest Management, says it's also part of a push by Asian paper companies to secure their sources of raw materials and could signal in- ereased foreign ownership in the Canadian pulp and paper industry. “There's a trend towards more foreign ownership in the form of companies that are being acquired,” Widman said. Daishowa, whose Canadian sub- sidiary is based in Vancouver, is paying $585 million in cash for British-based Reed’s North Ameri. can assets, which include a huge pulp and paper mill in Quebec City. it is also assuming $66 million of Reed's debt and will pay Reed a share of the operation's profits from last April 2 until the deal is closed. Although Widman estimated about 60 per cent of Canada's pulp and paper industry is still domestically owned and controlled, the foreign stake is increasing through take- overs and new projects. One of the biggest foreign players is Fletcher Challenge Ltd., the New Zealand forest giant, which has controlled Crown Forest Industries Ltd. since 1983 and last year bought fontrol of British Columbia Forest Products Ltd. Both have significant pulp and paper divisions. The takeovers are part of a world- wide spending spree in the pulp and Paper sector fuelled by rising de- mand, especially in developing indus- trial ‘economies such as those in southeast Asia, Widman said there are 25 major pulp and paper projects under con- struction around the world, valued at more than $10 billion. Japan and China lead the Asian expansion into North America, where the political climate is stable, raw materials and electric power Inland Gas strong Hydro candidate VANCOUVER (CP) — Inland Nat- ural Gas Co. Ltd. is a strong can- didate in the bidding for British Columbia Hydro's gas division, In- land president Bob Kadlec said. “Inland has the muscle and the know-how to create an exciting broadly based B.C. energy com- pany,” Kadlec told shareholders at the company’s annual meeting. Because of strict confidentiality rules imposed by the government, he said he couldn't give any details of the bid for Hydro’s gas division. The Social Credit government is selling the Crown corporation's gas division as part of its privatization Program under which about $3 billion worth of government holdings are to be sold. Kadlec said after the meeting that the privatization legislation intro- duced by the government is “gen erally good.” The legislation restricts non-resi- dents of Canada to a maximum 20 per cent of the voting shares and four per cent of a public share offering unless cabinet determines it is in the public interest. A provision also allows the government to retain appropriate control over ownership and man- agement. In addition, the chairman, chief executive officer and 70 per cent of the directors must be Canadian and resident in B.C. Five companies are on the short- list: Inland; Inter-City Gas Corp. of Toronto; Pan Pacific Utilities Corp., a Hydro management-led employee group in partnership with Great Lakes Group Inc., a company con- trolled by Peter and Edward Bronf- man of Montreal; Pacific Rim Gas Inc., a subsidiary of Hong Kong and China Gas Ltd.; and British Columbia Energy Inc., a consortium of Sam Belzberg, chairman of First City Financial Corp., and West Kootenay Power and Light Co., a subsidiary of Missouri-based UtiliCorp United Inc. Weekly stocks relatively cheap and the workforce well-educated, he said. Daishowa's latest acquisition makes it the biggest Japanese pres- ence in the North American pulp and paper sector. Other Japanese companies in the field include Mitsubishi, with an operation near Cranbrook, and most recently Oji Paper Manufacturing, which has a joint venture with Can adian Forest Products Ltd. Daishowa started 10 years ago with a 25-per-cent stake in Cariboo Pulp and Paper Co. Ltd. of Quesnel, added a half interest in Quesnel River Pulp Co. and is due to start Production in 1990 at a new $500 million kraft pulp mill in north western Alberta on land that in cludes some of the controversial Lubicon Indian land claim. Once the Reed acquisition is com- pleted, Daishowa’s annual North American pulp and paper production will total more than 1.3 million tonnes. Dick Bryan, an economist for the B.C. Council of Forest Industries, called the foreign buyouts welcome news because they preserve and create jobs in Canada.
