analysts believe there is little doubt who is absorbing whom. National Trust which depends on its reliable estate and trust administration business is wees absorbed by Victoria and and Grey, a highly aggressive Although National has 1,974 ceuployees to Victoria and Grey's 1,504, Victoria has asseta of $4.4 billion compared with National's $3.2 billion, Victoria's earnings from operations are higher too — $28.4 million last year versus $13.4 million. They are Canada’s fourth- and fifth-largest trust companies. Even before shareholders of both companies gave their blessing to the merger, National Trust was in the midst of a top-level shakeup. Two of the company’s five senior vice-presidents left abruptly when the merger’s agreement in principle was announced in July. E.A. PULL AHEAD Effective Aug. 31, the two companies became National Victoria and Grey Trust with assets of $7.8 billion, to put it ahead of Canada Permanent, which has $7.03 billion. The new company will be exceeded in size by Canada Trust with assets of $10.18 billion and Royal Trust, with $10.6 billion. Jackman, a Toronto financier, holds about 44 per cent of each company. Although the merger may be seen as creating another giant financial institution, analysts oe it as a defensive rather than against inside and outside the trust company industry. Steve Kressler, banking analyst at Merrill Lynch Inc., says being large is the best defence against the banks, whose asset bases exceed those of the trust companies tenfold. A large capital base is considered the best defence against everything from interest rate uncertainties to bad loans and allows the new company to lend out more money. NEW RELIGION In fact, large capital bases have become the new religion in financial circles amid the current economic uncertainties. “The large capital base is considered the way to play now,” says Kressler. It also helps to be bigger in a crowded industry. The trust industry in Canada consists of more than 70 companies with total assets of $40 billion. But only 10 firms are north more than $1 pillion. The situation has prompted many to expect a rationalization in this industry similar to those that have already reduced the number of securities firms and insur- companies. But Gerald Braun, banking analyst at Richardson Greenshields Ltd., sees a more immediate threat — Royal Trust. Royal Trust is 42-per-cent held by Trilon Financial Corp. and. with its wide array of retail banking services is held out as everybody's favorite example of the emerging trend of so-called financial supermarkets. Trilon also controls London Life. “Royal Trust is out to kill,” says Braun. “They want it all”. Royal's assets have more than doubled in the last five years. In addition, he says, the merger of these two firms can be expected to be part of the continuing trend. Power Corp. now holds 60 per cent of Montreal Trust and No. 2-ranked Canada Trust is expected to be a takeover target because it is loosely held with its major shareholder, Manufacturers Life Insurance Co., holding only 24 per cent of it. Braun also sees Central Trust as a possible takeover target because of what turned out to be a bad investment in MICC Investments Ltd.
